Acceptance of Terms These Terms and Conditions ("Terms") govern your access to, and use of the IntellaQuest Collaboration Portal ("Portal") provided by Subaru of Indiana, Automotive, Inc. ("SIA"). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Portal.
1. Portal Access:
1.1. Eligibility:
1.1.1.The Portal is available only to individuals and entities who are authorized suppliers of SIA's parts or services.
2. Account Creation:
2.1. In order to access the Portal, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
3. Portal Use:
3.1. License:
3.1.1.Subject to these Terms, SIA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Portal for the purpose of collaborating with SIA as a supplier.
4. Prohibited Activities:
4.1. You agree not to:
4.1.1.Use the Portal for any unlawful or unauthorized purpose.
4.1.2.Interfere with or disrupt the integrity or performance of the Portal.
4.1.3.Attempt to gain unauthorized access to the Portal or its related systems or networks.
4.1.4.Engage in any activity that may harm SIA's reputation or business interests.
5. Content Ownership:
5.1. Any content you submit or upload to the Portal remains your intellectual property. However, by using the Portal, you grant SIA a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and distribute your content for the purposes of collaboration and providing the Portal services.
6. Confidentiality:
6.1. Confidential Information:
6.1.1.The Portal may provide access to confidential and proprietary information of SIA. You agree to treat all such information as strictly confidential and not disclose it to any third party.
6.2. Non-Disclosure Agreement:
6.2.1.If required by SIA, you may be asked to sign a separate non-disclosure agreement (NDA) governing the use and protection of confidential information.
7. Intellectual Property:
7.1. Ownership:
7.1.1.The Portal, including its design, features, and content, is the intellectual property of SIA and is protected by copyright and other intellectual property laws.
7.2. Trademarks: All trademarks, service marks, logos, and trade names displayed on the Portal are the property of SIA or their respective owners. You may not use any of these without prior written permission.

8.2. The Portal is provided on an "as-is" and "as available" basis. SIA makes no warranties, express or implied, regarding the Portal's availability, functionality, or reliability.

9.1. You agree to indemnify and hold harmless SIA from any claims, damages, liabilities, costs, or expenses arising out of your use of the Portal or any breach of these Terms.
10. Termination:
SIA may, at its sole discretion, suspend or terminate your access to the Portal at any time and for any reason, without prior notice.
Governing Law These Terms shall be governed by and construed in accordance with the laws of Indiana. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Indiana.
